FEEDBACK. To assist Cortina Systems in identifying problems with |and making improvements to the Software, Cortina Systems invites Your |feedback concerning any bugs, errors or other problems discovered |during the course of your evaluation or use of the Software. Cortina Systems |shall have unrestricted rights to use such feedback to improve or |modify the Software. | |7. NO SUPPORT. Cortina Systems and its suppliers shall have no |obligation to provide support for the Software or to license any |version of it. Nothing in this Agreement obligates or shall obligate |either party to enter into a license agreement. | |8. EXCLUSION OF WARRANTIES. THE SOFTWARE IS PROVIDED "AS IS" AND |POSSIBLY WITH FAULTS. Unless otherwise agreed by Cortina Systems, |upon expiration or other termination of this Agreement, you will |immediately return the Software and all copies of the |Software to Cortina Systems. | |11. GENERAL. | |12. Controlling Law. Claims arising under this Agreement shall be |governed by the laws of Delaware, excluding its principles of conflict |of laws and the United Nations Convention on Contracts for the Sale |of Goods. | |13. Remedies. You acknowledge that any disclosure, commercialization, |or public use of the Software would cause irreparable injury to |Cortina Systems and consents to the grant of an injunction by any court |of competent jurisdiction in the event of a threatened breach. | |14. Non-assignment. Your rights and duties hereunder may not be |sublicensed, assigned or transferred without Cortina Systems prior |written consent. | |15. Entire Agreement. This Agreement contains the entire agreement |of the parties with respect to this subject matter and may not be |modified or changed in any manner except by a writing executed by the |parties. All prior discussions and negotiations are superseded by |this Agreement. | |16. Severability. The terms and conditions stated herein are declared |to be severable. If any paragraph, provision, or clause in this |Agreement shall be found or be held to be invalid or unenforceable |in any jurisdiction in which this Agreement is being performed, the |remainder of this Agreement shall be valid and enforceable and the |parties shall use good faith to negotiate a substitute, valid and |enforceable provision which most nearly effects the parties' intent |in entering into this Agreement. | |17. Government Licensees. Any software and documentation provided as |part of the Software are provided with "RESTRICTED RIGHTS." Use, |duplication or disclosure by the U.S. Government is subject to |restrictions as set forth in subparagraph (Copyright) (1)(ii) of the |Rights to Technical Data and Computer Software clause at |DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial |Software-Restricted Rights Clause at 48 CFR 52.227-19.
